Terms of Service
The terms you agree to when you use Cashup Express.
1. Parties and Acceptance
These Terms and Conditions form a binding agreement between Cashup Express Limited ("we," "us," or "our") and the business or individual registering for an account ("you" or "the Account Holder"). By creating an account or using our service on behalf of a business, you confirm that you have the authority to bind that business to these terms.
2. The Service
Cashup Express is a web-based utility designed to assist retail businesses with end-of-shift till reconciliation. The software provides a digital cash-count sheet and calculates suggested float and bank split totals based on the numbers you input.
3. Account Responsibility
We operate on a "single shared account per shop" model. You are entirely responsible for maintaining the security of your login credentials. Because the software does not manage individual staff logins, the Account Holder assumes full responsibility for all activity, data entry, and user behavior that occurs under their account. The “staff name” field associated with cash-ups is intended for your shop’s internal reference only, and does not require any personally identifiable details.
4. Subscription and Billing
Cashup Express is a paid subscription service. We offer a 7 day free trial, after which a payment method must be added to continue using the service.
- Billing: Subscriptions are billed on a monthly basis and automatically renew unless cancelled.
- Cancellation: You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing cycle.
- Refunds: All charges are non-refundable, except as required by law, and we do not offer part payments for months on which the subscription is cancelled.
5. Acceptable Use
You agree to use Cashup Express only for its intended purpose. You may not reverse-engineer, decompile, or attempt to extract the source code of the software. You may not resell, sub-license, or share your account access with third parties outside the single shop that operates the account.
6. Limitation of Liability
Cashup Express is a calculation aid, not an automated accounting service. While we strive for accuracy, the final responsibility for verifying cash counts, confirming POS discrepancies, and bagging the correct bank deposit rests entirely with you and your staff. We are not liable for any physical cash shortages, banking errors, accounting discrepancies, lost revenue, or losses resulting from theft, fraud, or intentional misconduct by your personnel, that occur in connection with using or misusing the service. In any event, our maximum total liability to you for any claim arising out of your use of the service is strictly limited to the total amount you paid us for the service in the 12 months preceding the claim.
7. Force Majeure
Cashup Express Limited will not be liable for any failure or delay in providing the service, nor for any resulting losses, caused by events beyond our reasonable control. This includes, but is not limited to, telecommunications or internet failures, third-party server outages, natural disasters, civil unrest, war, or acts of God.
8. Service Availability
We work hard to keep Cashup Express online and running smoothly, particularly during late-night closing hours. However, we do not guarantee 100% uptime. We reserve the right to modify, suspend, or discontinue the service (or any part of it) for maintenance or updates without prior notice.
9. Suspension and Termination
We reserve the right to suspend or terminate your account immediately if you fail to pay your subscription fees, breach these Terms, or use the service for illegal or unauthorized purposes.
10. IP, Data, and Retention
- Our IP: We own all intellectual property rights to the Cashup Express software, branding, and code.
- Your Data: You retain full ownership of the till data and shift information you enter into the app.
- Data Retention: If you cancel your subscription but do not delete your account, we will retain your data so it is available if you choose to resubscribe. You may delete your data at any time through the app or by direct request by email. All data will be permanently deleted upon account deletion. However, we reserve the right to permanently delete dormant accounts and their associated data after 12 months of inactivity.
11. Privacy
Your use of Cashup Express involves the handling of certain data. How we collect, store, and protect this data is governed by our Privacy Policy.
12. Changes to Terms
We may update these Terms from time to time. If we make significant changes, we will notify you via the email address associated with your account or through a notice within the app. Your continued use of the service after changes are published constitutes your acceptance of the new terms. We reserve the right to change the subscription price, provided users are given at least 30 days’ notice before the next billing cycle.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of New Zealand. Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts of New Zealand.
14. Consumer Guarantees Act 1993
As Cashup Express is provided as a business-to-business service, the provisions of the Consumer Guarantees Act do not apply.
15. Indemnity
You agree to indemnify and hold Cashup Express Limited harmless from any claims, damages, liabilities, or legal fees arising from your breach of these Terms, your misuse of the service, or any internal disputes between you and your employees.
16. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
